These Terms are the agreement between you and Midfluence LLC ("Arxos," "we," "us") for use of the Arxos service. By creating an account or using joinarxos.com, you agree to these Terms. If you don't agree, don't use the service.
1. The service
Arxos is a software-as-a-service product that provides automated assistants ("Operators") for customer support, inventory, content, finance, and competitive research — primarily for ecommerce businesses. We may add, change, or remove features over time.
2. Eligibility + accounts
You must be at least 18 and able to enter binding contracts. You must provide accurate signup information and keep it current. You are responsible for everything that happens under your account, including actions taken by anyone you give access to.
Don't share your login. Notify us at security@joinarxos.com immediately if you suspect unauthorized access.
3. Subscriptions + billing
3.1 Plans
Arxos offers tiered subscriptions (Solo, Growth, Scale) billed monthly by Stripe. Trial periods, if offered, are clearly disclosed at signup. You can cancel anytime; cancellation takes effect at the end of your current billing period.
3.2 Price changes
We may change prices with 30 days' notice via email. If you don't agree, you may cancel before the change takes effect.
3.3 Refunds
Monthly subscriptions are non-refundable for partial periods. We will refund the most recent charge in good faith if you cancel within 7 days of an upgrade or initial subscription, no questions asked, by emailing billing@joinarxos.com.
3.4 Failed payments
If a payment fails, we'll retry per Stripe's schedule. If a charge is unresolved after 14 days, we may suspend or terminate your account.
4. Acceptable use
You agree NOT to:
- Use Arxos to send spam, harassment, or unlawful content
- Reverse-engineer, copy, or resell the service
- Attempt to bypass authentication, rate limits, or access controls
- Use Arxos to make decisions that violate consumer protection, advertising, or financial regulations applicable to your business
- Upload content that infringes others' intellectual property
- Use Arxos in life-or-death contexts (medical, aviation, etc.) — the service is not designed or warranted for safety-critical use
We may suspend or terminate accounts violating these rules.
5. AI-generated content disclaimer
Arxos uses AI (currently powered by Anthropic Claude) to draft customer support replies, content ideas, intel summaries, and other outputs. AI outputs are drafts, not advice. You are responsible for reviewing and approving anything Arxos drafts before it goes to a customer, supplier, regulator, accountant, or any third party. Arxos is not liable for damages caused by AI outputs you choose to act on without review.
6. Your data + content
You own your data. We need a limited license to host, process, and display it to deliver the service. We don't use your data to train AI models. Our Privacy Policy explains what we collect and how we use it.
7. Third-party services
Arxos integrates with Shopify, Stripe, Anthropic, Clerk, Supabase, Vercel, Google (Gmail), and others. Your use of those services is governed by their own terms. Arxos is not responsible for outages, bugs, or policy changes by third parties.
8. Intellectual property
Arxos, the joinarxos.com brand, the software, designs, and Operator characters are owned by Midfluence LLC. You receive a non-exclusive, non-transferable license to use the service while your subscription is active. You may not use Arxos trademarks without written consent.
9. Warranties + disclaimers
ARXOS IS PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND. We do not warrant the service will be uninterrupted, error-free, or that AI outputs will be accurate or fit for any particular purpose. To the maximum extent allowed by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent allowed by law, Midfluence LLC's total liability for any claim arising from these Terms or your use of Arxos is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, data loss, or business interruption — even if advised of the possibility.
11. Indemnification
You agree to indemnify and hold Arxos harmless from claims arising out of your use of the service, your content, your violation of these Terms, or your violation of any law or third-party right.
12. Termination
You can cancel anytime in the /billing section. We may suspend or terminate accounts for material breach of these Terms or for non-payment. On termination, your access ends; we'll retain your data for up to 90 days for billing reconciliation, then delete it.
13. Changes to these terms
We may update these Terms. Material changes will be notified by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
14. Governing law + disputes
These Terms are governed by Delaware law (without regard to its conflict-of-laws principles). Disputes will be resolved exclusively in the state or federal courts of Delaware, and you consent to that jurisdiction. Where law permits, both parties waive jury trial.
15. Miscellaneous
These Terms are the entire agreement between you and Arxos regarding the service. If any provision is unenforceable, the rest remains in effect. We may assign these Terms; you may not. Notices to Arxos go to legal@joinarxos.com; notices to you go to the email on your account.
